HENKO MARKETPLACE TERMS & CONDITIONS

1. INTRODUCTION
These Terms & Conditions govern the use of the Henko Marketplace by buyers, sellers and visitors.
By listing products, purchasing products or otherwise using the Henko Marketplace, users agree to these Terms & Conditions.
Henko reserves the right to amend these Terms & Conditions at any time.
2. MARKETPLACE MODEL
Henko operates as an online marketplace connecting buyers and sellers of professional photography, lighting, studio and related equipment.
Unless explicitly stated otherwise:

Henko is not the owner of listed products.

Henko does not purchase listed products from sellers.
-
Sales are concluded between buyer and seller through the Henko platform.
Henko acts as marketplace operator, intermediary and payment facilitator.
3. ELIGIBILITY
Users must:

Be at least 18 years old.
-
Be legally capable of entering into binding agreements.
-
Provide accurate contact information.
-
Comply with all applicable laws and regulations.
Henko may request identity verification at any time.
4. SELLER RESPONSIBILITIES
Sellers are solely responsible for:

Ownership of listed products.
-
Accuracy of product information.
-
Product condition.
-
Product functionality.
-
Safe packaging.
-
Timely shipment.
-
Compliance with these Terms.
Sellers must respond to Henko communications within three (3) business days.
Failure to respond may result in:

Listing suspension.
-
Listing removal.
-
Account restrictions.
-
Account termination.
5. PRODUCT OWNERSHIP
Sellers may only list products they legally own and are authorized to sell.
Henko may request:

Proof of ownership.
-
Purchase invoices.
-
Serial numbers.
-
Additional product photographs.
Henko reserves the right to remove listings where ownership cannot be reasonably established.
6. PRODUCT LISTINGS
All listings must accurately describe:

Brand and model.
-
Cosmetic condition.
-
Functional condition.
-
Included accessories.
-
Missing accessories.
-
Repairs.
-
Modifications.
-
Known defects.
The use of misleading descriptions is prohibited.
Failure to disclose known defects may result in:

Product return.
-
Refund obligations.
-
Seller penalties.
-
Marketplace suspension.
7. PRODUCT CONDITION
Products must be classified honestly.
Condition ratings may include:

Like New
-
Excellent
-
Good
-
Fair
-
Parts / Repair
Henko reserves the right to adjust condition classifications.
8. LISTING EXCLUSIVITY
Products listed on Henko may not be actively offered on competing public marketplaces during the listing period.
Examples include:

eBay
-
Marktplaats
-
Facebook Marketplace
-
Kleinanzeigen
-
LeBonCoin
-
Similar classified platforms
The purpose of this requirement is to prevent:

Double sales
-
Inventory conflicts
-
Customer disappointment
Violation may result in immediate removal of listings and seller restrictions.
9. SELLER PRICING
Henko charges a success-based commission.
Current fees:
€0 – €500 = 25%
€500 – €2,500 = 22%
€2,500+ = 20%
No listing fees apply.
No subscription fees apply.
Henko reserves the right to amend fees in the future.
Updated fees shall only apply to future listings.
10. ORDER PROCESS
Upon purchase:

Buyer places an order.

Henko processes payment.
-
Seller receives shipping instructions.
-
Seller ships the product.
-
Buyer receives the product.
-
Inspection period begins.
-
Funds are released after successful completion.
11. SHIPPING REQUIREMENTS
Sellers must ship products within three (3) business days after receiving shipment instructions unless otherwise agreed.
Tracking information must be provided where available.
Henko reserves the right to cancel transactions where sellers fail to ship products within a reasonable timeframe.
12. PACKAGING REQUIREMENTS
Sellers are responsible for ensuring products are packaged professionally and securely.
Packaging must be suitable for:

Product weight.
-
Product fragility.
-
Shipping distance.
-
Transportation conditions.
Insufficient packaging constitutes seller negligence.
13. TRANSPORT DAMAGE
Transport damage remains the responsibility of the seller.
Where damage occurs:

Packaging quality will be assessed.

Supporting photographs may be requested.
-
Carrier investigations may be initiated.
If inadequate packaging is determined to be the cause, all resulting costs may be charged to the seller.
14. BUYER INSPECTION PERIOD
Buyers have forty-eight (48) hours after delivery to inspect products.
Reported issues may include:

Transport damage.
-
Missing accessories.
-
Functional defects.
-
Incorrect products.
-
Product condition discrepancies.
Issues reported after the inspection period may not be eligible for review.
15. RETURNS
Buyers may return products within five (5) working days after delivery.
Returned products must:

Be complete.

Be in substantially the same condition.
-
Include supplied accessories.
-
Include supplied documentation.
Products damaged by buyers may not qualify for refund.
16. WARRANTY
Eligible products include a three (3) month Henko Warranty.
Warranty applies to:

Undisclosed defects.

Functional failures not caused by misuse.
Warranty does not cover:

Cosmetic wear.
-
Normal wear and tear.
-
User damage.
-
Water damage.
-
Impact damage.
-
Unauthorized repairs.
-
Consumable items.
Henko reserves sole discretion in warranty assessment.
17. PRODUCT MISREPRESENTATION
Products that differ materially from their listing may be deemed misrepresented.
Examples include:

Hidden defects.
-
Incorrect condition.
-
Missing accessories.
-
Functional issues.
-
Incorrect model information.
Henko may require:

Return of product.
-
Refund to buyer.
-
Seller reimbursement.
18. PAYMENT RELEASE
Seller funds are released only after:

Delivery confirmation.
-
Expiration of inspection period.
-
Absence of unresolved disputes.
Henko may delay payment where necessary to investigate complaints.
19. BUYER PROTECTION
Henko provides Buyer Protection to support secure marketplace transactions.
Buyer Protection may include:

Dispute review.
-
Return authorization.
-
Refund processing.
-
Mediation services.
Henko reserves sole discretion in determining Buyer Protection outcomes.
20. DISPUTES
Henko may act as mediator between buyers and sellers.
Both parties agree to cooperate in good faith.
Henko may request:

Photographs.
-
Videos.
-
Tracking information.
-
Proof of shipment.
-
Additional documentation.
Failure to cooperate may negatively affect claim outcomes.
21. FRAUD PREVENTION
Henko reserves the right to investigate:

Fraudulent listings.
-
Identity fraud.
-
Stolen products.
-
Counterfeit products.
-
Suspicious transaction activity.
Henko may suspend accounts during investigations.
22. PROHIBITED PRODUCTS
The following products may not be listed:

Stolen products.
-
Counterfeit products.
-
Illegal products.
-
Unsafe electrical equipment.
-
Products violating intellectual property rights.
Henko may remove prohibited listings without notice.
23. MARKETPLACE ENFORCEMENT
Henko reserves the right to:

Edit listings.
-
Suspend listings.
-
Remove listings.
-
Restrict accounts.
-
Terminate accounts.
Enforcement actions may be taken without prior warning where marketplace integrity is at risk.
24. LIMITATION OF LIABILITY
Henko’s liability shall be limited to the maximum extent permitted by applicable law.
Henko shall not be liable for:

Indirect damages.
-
Consequential damages.
-
Lost profits.
-
Business interruption.
-
Third-party claims.
25. FORCE MAJEURE
Henko shall not be liable for delays or failures caused by circumstances beyond its reasonable control.
26. GOVERNING LAW
These Terms & Conditions shall be governed by Dutch law.
Any disputes shall be subject to the jurisdiction of the competent courts in The Netherlands.
27. MODIFICATIONS
Henko may modify these Terms & Conditions at any time.
Updated versions shall be published on the Henko website.
Continued use of the marketplace constitutes acceptance of the updated Terms.
